By accessing or using any website, application, product, or service offered by Cystence (Pvt) Ltd — including but not limited to Finards Lite, FBR Digital Invoicing & POS, and any future offerings — you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must discontinue use of our services immediately.

These terms apply to all visitors, users, customers, and any other persons who access or use our services, whether on a free trial, paid subscription, or any other basis.

• •"User", "You", "Your" refers to any individual or entity accessing or using our services.
• •"Services" refers to all products, applications, websites, and solutions provided by Cystence.
• •"Content" refers to all text, images, data, software, and other materials available through our services.
• •"Account" refers to the unique account created by you to access and use our services.

• •Attempting to gain unauthorized access to our systems, servers, networks, or any other user's account.
• •Uploading, transmitting, or distributing any viruses, malware, spyware, or other harmful or disruptive code.
• •Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of our software.
• •Copying, modifying, distributing, selling, or leasing any part of our services or included software.
• •Using automated systems, bots, scrapers, or similar tools to access or interact with our services without prior written consent.
• •Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity.
• •Interfering with or disrupting the integrity, performance, or availability of our services or the data contained therein.

Access to certain features and products may require a paid subscription. By subscribing, you agree to the following:

• •All fees are quoted in the applicable currency and are exclusive of taxes unless otherwise stated.
• •Payments are due in advance according to the billing cycle you select (monthly, quarterly, or annually).
• •Subscription fees are non-refundable except as required by applicable law or as expressly stated in our refund policy.
• •We reserve the right to modify pricing at any time, with reasonable notice provided before the next billing cycle.
• •Failure to make timely payments may result in suspension or termination of your access to paid features.

All intellectual property rights in and to our services — including but not limited to software, code, algorithms, designs, logos, trademarks, trade names, text, graphics, images, and documentation — are and shall remain the exclusive property of Cystence (Pvt) Ltd or its licensors.

• •We grant you a limited, non-exclusive, non-transferable, revocable license to use our services for their intended purpose, subject to these terms.
• •You may not reproduce, distribute, publicly display, create derivative works from, or commercially exploit any of our proprietary content without prior written authorization.
• •All feedback, suggestions, or ideas you provide regarding our services may be used by us without any obligation of compensation or attribution.
• •Any unauthorized use of our intellectual property may result in legal action and termination of your access.

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information. By using our services, you consent to the data practices described in our Privacy Policy.

• •You retain ownership of any data you upload or input into our systems. We do not claim ownership of your business data.

• •For FBR Digital Invoicing services, your invoice data may be shared with the Federal Board of Revenue (FBR) as required by Pakistani tax regulations.

We strive to provide reliable, uninterrupted access to our services. However, we do not guarantee that our services will be available at all times or without interruption.

• •We may perform scheduled maintenance with prior notice to users whenever possible.
• •We reserve the right to modify, update, or discontinue any feature or service at any time, with or without notice.
• •In the event of a planned service discontinuation, we will provide reasonable notice and assist with data migration where feasible.
• •We shall not be liable for any downtime, data loss, or damages resulting from service interruptions beyond our reasonable control.

To the maximum extent permitted by applicable law:

• •Cystence (Pvt) Ltd, its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services.
• •Our total cumulative liability for any claims arising from or related to these terms or our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
• •We are not responsible for any loss of profits, revenue, data, business opportunities, or goodwill, whether direct or indirect.
• •This limitation applies regardless of the legal theory on which the claim is based, including breach of contract, tort, negligence, strict liability, or any other basis.

You agree to indemnify, defend, and hold harmless Cystence (Pvt) Ltd, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

• •Your violation of these Terms and Conditions or any applicable law.
• •Your violation of any third-party rights, including intellectual property or privacy rights.
• •Any content or data you submit, upload, or transmit through our services.

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice, if we determine that you have violated these terms or engaged in conduct that we deem harmful to our services, other users, or third parties.

These Terms and Conditions shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from or relating to these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Sindh, Pakistan.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If a resolution cannot be reached within thirty (30) days, either party may pursue legal remedies as permitted by law.
